合同履行规则是怎样的?What are the rules for contract performance?

  核心内容:合同履行的规则有法定义务规则、亲自履行规则、实际履行规则等等几个规则。

法定义务规则

  法定义务:是指法定合同义务,即当事人即使在合同中没有约定,依据法律规定也应承担的义务。(合同法第 60 条第 2 款:当事人应当遵循诚实信用原则,根据合同的性质、目的和交易习惯履行通知、协助、保密等义务。)

  ①协助义务:指合同当事人应协助对方履行义务,以使合同能顺利履行的义务。

  ②方便义务:指为对方履行合同义务提供方便的义务。

  ③通知义务:即合同当事人应将自己履行义务的情况及时通知另一方当事人。

  ④减损义务:即合同法中的 - 防止损失扩大 - ,是指由于主客观原因而使一方遭受损失时,遭受损失的一方应采取必要的措施,以防止损失的扩大。

  ⑤保密义务:指合同当事人负有将通过确立合同关系而了解到的对方的秘密予以保守的义务。

正确履行

  也称适当履行,是指当事人应按照合同的规定不折不扣地履行合同义务。

  ①履行主体正确(亲自履行规则);但在第三人履行合同义务不损害债权人利益的时候,第三人接受合同义务的履行不损害债务人利益的时候,第三人作为合同履行的主体也是正确的。

  ②履行标的正确(实际履行原则);

③履行时间正确;

④履行地点正确;

⑤履行方式正确。

亲自履行

  指合同义务要由合同债务人向合同债权人履行,不得由第三人代替。

条款约定不明的履行

  ①质量不明条款的履行;( 62 条 1 款:质量要求不明确的,按照国家标准、行业标准履行;没有国家标准、行业标准的,按照通常标准或者符合合同目的的特定标准履行。)

  ②价格不明条款的履行;( 62 条 2 款:价款或者报酬不明确的,按照订立合同时履行地的市场价格履行;依法应当执行政府定价或者政府指导价的,按照规定履行。)

  ③地点不明条款的履行;( 62 条 3 款:履行地点不明确,给付货币的,在接受货币一方所在地履行;交付不动产的,在不动产所在地履行;其他标的,在履行义务一方所在地履行。)

  ④期限不明条款的履行;( 62 条 4 款:履行期限不明确的,债务人可以随时履行,债权人也可以随时要求履行,但应当给对方必要的准备时间。)

  ⑤方式不明条款的履行;( 62 条 5 款:履行方式不明确的,按照有利于实现合同目的的方式履行。)

  ⑥费用不明条款的履行;( 62 条 6 款:履行费用的负担不明确的,由履行义务一方负担。)

第三人履行

  概念:第三人履行是指在合同履行过程中,履行合同义务的人或接受义务履行的人不是合同当事人,而是合同当事人以外的第三人的情形。只要在合同中有约定,第三人就可以成为合同履行的主体。(第六十四条当事人约定由债务人向第三人履行债务的,债务人未向第三人履行债务或者履行债务不符合约定,应当向债权人承担违约责任。第六十五条当事人约定由第三人向债权人履行债务的,第三人不履行债务或者履行债务不符合约定,债务人应当向债权人承担违约责任。)

价格变动的履行

  概念:是指执行政府定价的合同,在合同订立后、履行前政府定价发生调 整的,按照何种价格履行的问题。(第六十三条执行政府定价或者政府指导价的,在合同约定的交付期限内政府价格调整时,按照交付时的价格计价。逾期交付标的物的,遇价格上涨时,按照原价格执行;价格下降时,按照新价格执行。逾期提取标的物或者逾期付款的,遇价格上涨时,按照新价格执行;价格下降时,按照原价格执行。)

Statutory obligation rules

 

Legal obligation: refers to the legal contractual obligation that the parties should bear, even if there is no agreement in the contract, according to legal provisions. (Article 60, Paragraph 2 of the Contract Law: The parties shall abide by the principle of good faith and fulfill obligations such as notification, assistance, and confidentiality in accordance with the nature, purpose, and transaction habits of the contract.)

 

Assistance obligation: refers to the obligation of the contracting parties to assist the other party in fulfilling their obligations, in order to ensure the smooth performance of the contract.

Convenience obligation: refers to the obligation to provide convenience for the other party to fulfill contractual obligations.

Notification obligation: The contracting parties shall promptly notify the other party of their performance of obligations.

Duty to reduce losses: In Contract Law, the term "preventing the expansion of losses" refers to the situation where one party suffers losses due to subjective and objective reasons, and the party suffering losses should take necessary measures to prevent the expansion of losses.

Confidentiality obligation: refers to the obligation of the contracting parties to keep confidential the secrets of the other party that they have learned through the establishment of the contractual relationship.

 

Proper performance

 

Also known as appropriate performance, it refers to the obligation of the parties to fulfill their contractual obligations in accordance with the provisions of the contract.

The performance subject is correct (personally fulfilling the rules); But when the performance of contractual obligations by a third party does not harm the interests of the creditor, and when the third party accepts that the performance of contractual obligations does not harm the interests of the debtor, it is also correct for the third party to be the subject of contractual performance.

Correct performance of the subject matter (principle of actual performance);

The fulfillment time is correct;

The place of performance is correct;

The fulfillment method is correct.

 

Personally fulfill

 

The contractual obligations must be fulfilled by the contractual debtor to the contractual creditor and cannot be replaced by a third party.

 

Performance with unclear terms and conditions

 

Performance of quality unclear clauses; (Article 62, Paragraph 1: If the quality requirements are not clear, they shall be fulfilled in accordance with national or industry standards; if there are no national or industry standards, they shall be fulfilled in accordance with ordinary standards or specific standards that meet the purpose of the contract.)

Performance of price unclear clauses; (Article 62, Paragraph 2: If the price or remuneration is unclear, the performance shall be based on the market price at the place of performance at the time of signing the contract; if government pricing or government guidance pricing should be implemented according to law, it shall be performed in accordance with regulations.)

Performance of terms with unclear location; (Article 62, Paragraph 3: If the place of performance is unclear and the currency is paid, performance shall be made at the location of the receiving party; if the immovable property is delivered, performance shall be made at the location of the immovable property; and for other objects, performance shall be made at the location of the performing party.)

Performance of terms with unclear deadlines; (Article 62, Paragraph 4: If the performance period is unclear, the debtor may perform at any time, and the creditor may also demand performance at any time, but the other party shall be given necessary preparation time.)

Performance of terms with unclear methods; (Article 62, Paragraph 5: If the method of performance is unclear, it shall be performed in a manner that is conducive to achieving the purpose of the contract.)

Performance of unclear cost clauses; (Article 62, Paragraph 6: If the burden of performance costs is unclear, the party performing the obligation shall bear it.)

 

Third party performance

 

Concept: Third party performance refers to the situation where the person performing the contractual obligations or the person accepting the performance of the obligations is not a party to the contract, but a third party outside of the parties to the contract during the contract performance process. As long as there is an agreement in the contract, a third party can become the subject of contract performance. (Article 64: If the parties agree that the debtor shall perform the debt to a third party, and the debtor fails to perform the debt to the third party or fails to perform the debt in accordance with the agreement, it shall be liable for breach of contract to the creditor. Article 65: If the parties agree that the third party shall perform the debt to the creditor, and the third party fails to perform the debt or fails to perform the debt in accordance with the agreement, the debtor shall be liable for breach of contract to the creditor.)

 

Fulfillment of price changes

 

Concept: It refers to the issue of the price at which government pricing adjustments occur after the contract is signed and before its performance, in order to fulfill government pricing contracts. (Article 63: For the implementation of government pricing or government guided pricing, if the government adjusts the price within the delivery period specified in the contract, the pricing shall be based on the price at the time of delivery. If the delivery of the subject matter is delayed, the original price shall be implemented when the price increases; if the price decreases, the new price shall be implemented. If the subject matter is delayed in extraction or payment, the new price shall be implemented when the price increases; if the price decreases, the original price shall be implemented.)
