公司合同章丢了可以取消吗?Can the company contract seal be cancelled if it is lost?

 在现实世界中,我们都知道公司要想注销就要办理相关手续,但是这个时候公司的合同章丢失了,比较麻烦。在这种情况下,如果公司合同印章丢失,我们可以取消吗?

  一、公司合同章遗失可以去办理注销吗

  可以注销。公司公章丢失,要先进行登报公示,之后进行申请补领,资料补办齐全后,可以进行公司注销。公司注销注意事项:

  1、办理有限责任公司注销前,应先到登记机关办理清算组备案登记,取得工商局核发的《备案确认通知书》;

  2、应在公开发行的报纸上进行公告,自公告之日起45日后方可办理注销登记;

  3、有分公司的,应先行办理分公司注销登记;有对外投资的,请先清理对外投资;

  4、办理完税证明;

  5、出具清算报告。

  《公司法》

  第一百八十八条 【公司注销】公司清算结束后,清算组应当制作清算报告,报股东会、股东大会或者人民法院确认,并报送公司登记机关,申请注销公司登记,公告公司终止。

     

 二、注销需要文件是什么

  1、公司清算组负责人或公司法定代表人签署的《公司注销登记申请书》;

  2、清算组成员《备案确认申请书》;

  3、法院破产裁定、行政机关责令关闭的文件或公司依照《公司法》作出的决议;

  4、股东会或者有关机关确认的清算报告;

  5、刊登注销公告的报纸报样;

  6、法律、行政法规规定应当提交的其他文件;
