解除购房合同告知函

致:XXXX开发有限公司 先生/女士:

本人与贵公司做为双方当事人于2013年1月5日签订了两份《商品房买卖合同》,该合同第八条“交付期限”约定贵公司(作为房屋出卖人)应当在2014年4月30日前向本人交付合同项下的房屋(XXXX中心2#楼4层XX号和XX号房),但截至2014年XX月XX日,贵公司不能向我交付房屋。依据《民法典》的规定,贵公司的行为已构成违约,须承担违约责任。现本人正式函告贵公司:

1、本人与贵公司签订的《商品房买卖合同》自贵公司接到此函之日起解除。

2、请贵公司于本通知函送达之日起 日内退还本人已付的全部房款及相应的违约金,逾期则按中国人民银行同期贷款利率支付利息至实际退款之日止。

3、对于贵公司在合同中附加的显失公平的条款及《合同补充协议》,依据《中华人民共和国民法典》中对制式合同的有关规定,均属无效条款。

如果贵方拒绝我方的要求,我方将启动法律程序并采用媒体曝光等方式,维护本人的合法权益,请贵公司及时处理!

《中华人民共和国民法典》

第五百六十五条 【合同解除程序】当事人一方依法主张解除合同的,应当通知对方。合同自通知到达对方时解除;通知载明债务人在一定期限内不履行债务则合同自动解除,债务人在该期限内未履行债务的,合同自通知载明的期限届满时解除。对方对解除合同有异议的,任何一方当事人均可以请求人民法院或者仲裁机构确认解除行为的效力。

当事人一方未通知对方,直接以提起诉讼或者申请仲裁的方式依法主张解除合同,人民法院或者仲裁机构确认该主张的,合同自起诉状副本或者仲裁申请书副本送达对方时解除。

二、单方解除购房合同的情形

(一)不可抗力。因不可抗力如地震、海啸等自然灾害致使不能实现购房合同目的的,买房人有权解除合同。

(二)卖方明示违约。在履行期限届满前,房屋卖方明确表示或者以自己的行为表明不履行主要债务的,即卖方明确表示将不交付房屋的,买房人有权解除合同。

(三)先卖后抵押的。商品房买卖合同订立后,卖方未告知买方又将该房屋抵押给第三人导致买方购房合同目的不能实现的,买房人有权解除合同。

(四)一房二卖的。商品房买卖合同订立后,卖方又将该房屋出卖给第三人导致买方购房合同目的不能实现的,买房人有权解除合同。

(五)隐瞒无证售房事实的。卖房人故意隐瞒没有取得商品房预售许可证明的事实或者提供虚假的预售许可证明的,买房人有权解除合同。

(六)隐瞒房屋抵押的事实。卖方故意隐瞒所售房屋已经抵押的事实的,买房人有权解除合同。

(七)隐瞒房屋已出卖或为拆迁安置房屋的事实。卖方故意隐瞒所售房屋已出卖给第三人或者为拆迁补偿安置房屋的事实的,买房人有权解除合同。

(八)房屋主体结构不合格。因房屋主体质量不合格不能交付使用或者交付使用后,房屋主体质量经检验确属不合格,买房人有权解除合同。

(九)房屋存在严重质量问题。因房屋质量问题严重影响正常居住的,买房人有权解除合同。

To Mr./Ms. XXXX Development Co., Ltd.:

I and your company, as both parties, signed two "Sales Contracts for Commercial Housing" on January 5, 2013. Article 8 "Delivery Deadline" of the contract stipulates that your company (as the seller of the property) should deliver the property under the contract to me (rooms XX and XX, 4th floor, Building 2, XXXX Center) before April 30, 2014. However, as of XX/XX/2014, your company cannot deliver the property to me. According to the provisions of the Civil Code, your company's actions have constituted a breach of contract and you must bear the liability for breach of contract. I hereby formally inform your company that:


1. The Sales Contract for Commercial Housing signed between me and your company shall be terminated from the date of receipt of this letter.

2. Please refund all the house payment and corresponding penalty paid by me within days from the date of delivery of this notice letter. If overdue, interest will be paid at the same period loan interest rate of the People's Bank of China until the actual refund date.

3. According to the relevant provisions of the Civil Code of the People's Republic of China on standard contracts, the obviously unfair clauses and supplementary agreements added by your company in the contract are invalid clauses.


If you refuse our request, we will initiate legal proceedings and use media exposure and other means to protect my legitimate rights and interests. Please handle it promptly!

The Civil Code of the People's Republic of China

Article 565 [Procedure for Contract Termination] If one party claims to terminate the contract in accordance with the law, it shall notify the other party. The contract shall be terminated upon receipt of notice from the other party; The notice specifies that if the debtor fails to perform the obligation within a certain period of time, the contract shall be automatically terminated. If the debtor fails to perform the obligation within that period, the contract shall be terminated upon the expiration of the period specified in the notice. If the other party has objections to the termination of the contract, either party may request the people's court or arbitration institution to confirm the effectiveness of the termination.


If one party fails to notify the other party and directly claims termination of the contract by filing a lawsuit or applying for arbitration in accordance with the law, and the people's court or arbitration institution confirms the claim, the contract shall be terminated upon delivery of a copy of the lawsuit or arbitration application to the other party.


2、 Unilateral termination of housing purchase contract

(1) Force Majeure. If the purpose of the purchase contract cannot be achieved due to force majeure such as earthquakes, tsunamis and other natural disasters, the buyer has the right to terminate the contract.

(2) The seller expressly breaches the contract. If the seller of the house clearly expresses or indicates through their actions that they will not fulfill their main obligations before the expiration of the performance period, that is, if the seller clearly indicates that they will not deliver the house, the buyer has the right to terminate the contract.

(3) Sell first and then mortgage. If the seller fails to inform the buyer and mortgages the property to a third party after the conclusion of the commercial housing sales contract, resulting in the buyer's inability to achieve the purpose of the purchase contract, the buyer has the right to terminate the contract.

(4) One bedroom, two for sale. If the seller sells the property to a third party after the conclusion of the sales contract for commercial housing, resulting in the buyer's inability to achieve the purpose of the purchase contract, the buyer has the right to terminate the contract.

(5) Concealing the fact of selling houses without a certificate. If the seller intentionally conceals the fact that they have not obtained a pre-sale permit for commercial housing or provides false pre-sale permit certificates, the buyer has the right to terminate the contract.

(6) Concealing the fact of house mortgage. If the seller intentionally conceals the fact that the sold property has been mortgaged, the buyer has the right to terminate the contract.

(7) Concealing the fact that the house has been sold or relocated for demolition. If the seller intentionally conceals the fact that the sold property has been sold to a third party or resettled for demolition compensation, the buyer has the right to terminate the contract.

(8) The main structure of the house is unqualified. If the quality of the main body of the house is unqualified and cannot be delivered for use, or if the quality of the main body of the house is found to be unqualified after inspection, the buyer has the right to terminate the contract.

(9) The house has serious quality issues. If the quality of the house seriously affects normal living, the buyer has the right to terminate the contract.
